    Terms & Conditions

    Effective Date: September 20, 2026

    These Terms & Conditions ("Terms") govern the use of the websites, crew portal, online courses and services provided by Pelagyn Maritime Holdings ("Pelagyn," "we," "our," or "us"). By accessing our websites, registering a crew account, enrolling in a course, entering into an agreement or using our services, you ("Client," "Seafarer," "Student," "you" or "your") agree to be bound by these Terms.

    1. Scope of Services

    Pelagyn provides maritime management services including, but not limited to:

    • Crew management: recruitment, document verification, placement, payroll administration and travel for seafarers.
    • Vessel operations and technical management: certification, class and flag compliance, maintenance supervision, supply.
    • Yacht and vessel management under a management agreement.
    • Brokerage of sale and charter.
    • Marine services: refit, technical service, turnkey projects, flag change.
    • Captain services: delivery, captain-for-hire, relief crew.
    • Online training courses.

    The specific scope of work for owners and managers is defined in the applicable management agreement, brokerage agreement, proposal or statement of work. Employment terms for seafarers are defined in the Seafarer's Employment Agreement under MLC 2006, which prevails over these Terms in case of conflict.

    2. Crew Portal

    • You must provide accurate, complete and current information and genuine documents. Submitting a forged, altered or another person's document is grounds for immediate termination of your account and may be reported to the issuing authority and the flag State.
    • You are responsible for keeping your login credentials confidential and for all activity under your account.
    • A crew account, an application or an approved document does not constitute an offer of employment. Employment arises only from a signed Seafarer's Employment Agreement.
    • We may reject, suspend or close an account for false information, fraud, sanctions restrictions, or breach of these Terms.

    3. Client Responsibilities (owners and managers)

    • Provide accurate and complete information about the vessel, its certificates, ownership and operation.
    • Ensure timely feedback, approvals and funding of vessel operating costs as agreed.
    • Maintain the vessel's insurance and comply with applicable laws, flag State and class requirements.
    • Cooperate with sanctions, ownership and source-of-funds checks we are required to perform.

    4. Online Courses

    • Course access is personal and non-transferable. Sharing credentials or copying course materials is prohibited.
    • Course fees are payable in advance. Access is granted after payment is confirmed and remains valid for the period stated on the course page.
    • Course completion records are issued by Pelagyn for training purposes. They do not replace certificates required by STCW or flag State administrations unless expressly stated.
    • Fees are non-refundable once course content has been accessed, unless otherwise required by law.

    5. Fees and Payment

    All fees are outlined in the applicable agreement, invoice or course page. Payments are due according to the stated terms. Late payments may incur interest, suspension of services or, for vessel services, suspension of non-safety-critical work. Vessel operating funds advanced by owners are held and accounted for separately from Pelagyn's fees and are reported to the owner line by line.

    6. Intellectual Property

    Course materials, software, documents, templates and systems created by Pelagyn remain our intellectual property. Owners receive ownership of vessel records and reports prepared for them upon payment. Pelagyn may reference completed projects and vessels in marketing materials unless restricted by written agreement.

    7. Confidentiality

    Both parties protect confidential information shared during the engagement, including vessel commercial data, crew personal data and owner information. Disclosure is permitted only where required by law, flag State, port State, class or insurers, or with prior written consent.

    8. Limitation of Liability

    Pelagyn is not liable for indirect, incidental or consequential damages, including loss of hire, off-hire, delay or loss of profit, except where liability cannot be excluded by law. Our total liability under any agreement shall not exceed the fees paid to Pelagyn for the specific services in question. Nothing in these Terms limits the Master's overriding authority for the safety of the vessel, persons on board and the environment, or obligations that cannot be limited under MLC 2006 or applicable law.

    9. Termination

    Either party may terminate an agreement with written notice if the other party materially breaches these Terms and fails to remedy the breach within 14 days. Pelagyn may suspend or terminate services immediately for non-payment, sanctions exposure, false information or unsafe practice. Termination of a seafarer's employment is governed by the Seafarer's Employment Agreement and MLC 2006.

    10. Sanctions and Compliance

    We screen clients, vessels and seafarers against applicable sanctions lists. We will not provide services where doing so would breach U.S. or other applicable sanctions, and we may terminate services without liability if a sanctions restriction arises.

    11. Governing Law

    These Terms are governed by the laws of the State of Florida, USA. Any disputes shall be resolved in the courts of Miami-Dade County, Florida. Seafarer employment disputes are subject to the law and forum stated in the Seafarer's Employment Agreement.

    12. SMS and MMS Communications

    By checking the SMS consent box on a form on our websites and providing your mobile number, you give express written consent to receive non-marketing text messages from Pelagyn Maritime Holdings at the number provided. Consent is not a condition of employment, purchase or service.

    Messages may include replies to your request, application and document status, joining and travel arrangements, contract updates, course notifications and service messages. Message frequency varies. Message and data rates may apply.

    Reply STOP to any message to cancel. You will receive one confirmation message and no further texts unless you opt in again. Reply HELP for assistance or contact us at info@pelagyn.com. Carriers are not liable for delayed or undelivered messages.

    Text messaging originator opt-in data and consent are not shared with any third parties. See our Privacy Policy for details.

    Pelagyn Maritime Holdings does not send SMS or automated messages without prior express written consent, in accordance with applicable U.S. laws, including the TCPA.

    13. Changes to Terms

    Pelagyn may update these Terms periodically. Updates will be posted on our website with the revised effective date. Continued use of services after such updates constitutes acceptance of the new Terms.
